1. Introduction and Acceptance of Terms
These Terms of Service (these "Terms") form a legally binding agreement between you and Balde Gift Shop Corporation, doing business as Modify ("Modify," "we," "us," or "our"). These Terms govern your access to and use of the Modify website located at www.modifythrift.com (the "Site"), as well as any purchases you make through the Site. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Site. You represent that you are at least the age of majority in your state or province of residence and are capable of forming a binding contract.
2. Vintage, Consigned Goods, and Product Descriptions
Modify specializes in the resale of modest fashion, including preloved, vintage, and consigned clothing, handbags, shoes, and accessories. Because of the nature of our inventory, by purchasing from Modify you acknowledge and agree to the following:
• Condition of Goods. Because the items we sell are preloved or vintage, they may show signs of wear, age, or minor imperfections. We make every effort to display the colors, features, and condition of our products accurately; however, we do not warrant that product descriptions or other content are entirely accurate, complete, reliable, current, or error-free.
• Authentication. We review designer pieces before listing them and, where available, note authentication details in the product description. However, to the fullest extent permitted by law, all items are sold "as-is" and "as available."
• Pricing and Availability. Due to the unique nature of our inventory, most items are one-of-one. If an item sells in our physical retail location before our online inventory updates, we reserve the right to cancel your order and issue a full refund. We reserve the right to modify prices at any time without notice, and we are not responsible for typographical errors regarding pricing or inventory.
3. Orders, Payments, and Shipping
• Order Acceptance. Your receipt of an order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right to accept, decline, or limit your order for any reason, including suspected fraud or unauthorized reseller activity.
• Risk of Loss. All physical items purchased from Modify are made pursuant to a shipment contract. Risk of loss and title for such items pass to you upon our delivery of the items to the shipping carrier.
• Taxes and Duties. You are responsible for all applicable sales taxes. For international shipments, you are solely responsible for any customs duties, import taxes, or related fees.
4. Returns and Refunds
All purchases are subject to our Return & Shipping Policy, which is incorporated by reference into these Terms. Please review that policy closely before making a purchase. Unless explicitly stated otherwise in our Return & Shipping Policy, vintage and consigned items are strictly Final Sale.
5. Intellectual Property and Limited License
All content included on the Site, including but not limited to text, graphics, logos (including the "Modify" name and logo), images, digital downloads, data compilations, and software, is the property of Modify or its content suppliers and is protected by United States and international copyright and trademark laws. We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal, non-commercial shopping purposes. You may not extract, scrape, or systematically reproduce any part of the Site without our express written consent.
6. Prohibited User Conduct
You agree not to use the Site for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Site. Prohibited activities include, but are not limited to:
• Transmitting worms, viruses, or any code of a destructive nature;
• Attempting to gain unauthorized access to our systems, user accounts, or computer networks;
• Making false, fraudulent, or speculative orders; and
• Using the Site to harass, abuse, insult, harm, defame, or intimidate others. Modify reserves the right to terminate your use of the Site for violating any of these prohibited uses.
7. Disclaimer of Warranties and Limitation of Liability
THE SITE AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE SITE ARE (EXCEPT AS EXPRESSLY STATED BY US) PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MODIFY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SITE OR ANY PRODUCTS PROCURED USING THE SITE.
IN NO EVENT SHALL MODIFY'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO MODIFY FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless Modify and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.
9. Governing Law and Dispute Resolution
These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws rules. Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by confidential, binding arbitration in New York County, New York, before one arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) pursuant to its Consumer Arbitration Rules. YOU AND MODIFY EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND WAIVE ANY RIGHT TO BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Notwithstanding the foregoing, either party may bring an individual action in small claims court located in New York County, New York.
10. Changes to Terms of Service
We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to our Site. It is your responsibility to check our Site periodically for changes. Your continued use of or access to our Site following the posting of any changes to these Terms constitutes acceptance of those changes.
